DURIN, INC. TERMS OF SERVICE

These Terms of Service ("Terms") govern your access to and use of the Durin website located at www.durin.ai, the Durin mobile application, the Durin Door Manager hardware, firmware, cloud services, software, and all related products and services (collectively, the "Services").

These Terms form a legally binding agreement between you and Durin, Inc. ("Durin," "we," "our," or "us").

By creating an account, purchasing a Product, downloading the App, or otherwise accessing or using any portion of the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, do not access or use the Services.

 

 

1. Eligibility

You may use the Services only if:

  • you are at least eighteen (18) years old or the age of legal majority where you reside;

  • you are legally capable of entering into a binding contract; and

  • your use of the Services does not violate any applicable law.

If you are using the Services on behalf of a company, business, homeowners association, property manager, or other legal entity, you represent that you have authority to bind that entity to these Terms.

 

2. Definitions

For purposes of these Terms:

"Account" means your registered Durin account.

"App" means the Durin mobile application, including future updates and releases.

"Authorized User" means any individual granted access to your residence or property through your Account.

"Compatible Device" means any smart lock, accessory, mobile device, operating system, or third-party product that Durin identifies as supported.

"Content" means text, graphics, photographs, software, firmware, videos, audio, documentation, and other information made available through the Services.

"Door Manager" means the Durin Door Manager hardware product.

"Product" means any hardware sold by Durin.

"Services" includes the Products, App, firmware, cloud services, website, customer support, software updates, and related services.

"Third-Party Service" means any product, service, software, API, platform, wireless network, internet provider, cloud service, or smart lock ecosystem not owned or operated by Durin.

"You" means the individual or legal entity using the Services.

 

3. Changes to these Terms

We may modify these Terms from time to time.

If we make material changes, we will update the Effective Date shown above and may provide additional notice through the App, website, or email.

Your continued use of the Services after revised Terms become effective constitutes your acceptance of the updated Terms.

If you do not agree to the revised Terms, you must discontinue use of the Services.

 

4. Privacy

Your use of the Services is also governed by the Durin Privacy Policy, which explains how we collect, use, disclose, and safeguard personal information.

The Privacy Policy is incorporated into these Terms by reference.

 

5. Your Account

Certain features require a registered Account.

When creating an Account, you agree to provide complete, accurate, and current information.

You agree to promptly update your information whenever it changes.

You are solely responsible for:

  • maintaining the confidentiality of your username and password;

  • maintaining control of devices used to access your Account;

  • all activities occurring under your Account;

  • promptly notifying Durin if you suspect unauthorized access.

Durin is not responsible for losses resulting from unauthorized use of your credentials before you notify us.

We reserve the right to suspend or terminate Accounts that contain false information or that violate these Terms.

 

6. Shared Access

The Services allow you to grant access permissions to other individuals.

As the Account owner, you are solely responsible for:

  • determining who receives access;

  • selecting the permissions granted;

  • monitoring Authorized Users;

  • removing access when appropriate.

Durin acts only as a technology provider facilitating permissions selected by you.

Durin is not responsible for:

  • access granted by an Account owner;

  • actions taken by Authorized Users;

  • disputes among household members, guests, tenants, employees, contractors, property managers, or other users.

You acknowledge that granting digital access may permit another individual to enter your property consistent with the permissions you assign.

 

7. Compatible Devices and Third-Party Products

The Services are designed to operate only with Compatible Devices identified by Durin.

Durin may add, modify, or discontinue supported devices at any time without notice.

Compatibility may depend upon:

  • hardware model;

  • firmware version;

  • operating system version;

  • wireless connectivity;

  • third-party software updates.

Durin does not guarantee continued compatibility if a third-party manufacturer changes its hardware, firmware, software, cloud services, or APIs.

The current list of Compatible Devices is maintained on the Durin website and may be updated periodically.

 

8. Third-Party Services

The Services may rely upon Third-Party Services, including smart lock manufacturers, wireless networks, internet service providers, cloud platforms, mobile operating systems, notification services, payment processors, and application marketplaces.

Durin does not own or control Third-Party Services.

Accordingly, Durin does not guarantee that Third-Party Services will:

  • remain available;

  • function without interruption;

  • maintain compatibility with the Services;

  • continue supporting required integrations.

Changes made by Third-Party Services may affect the operation of the Services without liability to Durin.

Your use of Third-Party Services remains subject to their applicable terms and privacy policies.

The Services may integrate with third-party smart home ecosystems, voice assistants, digital wallet platforms, or automation services. Durin does not control these services and is not responsible for their continued availability, privacy practices, or functionality.

 

9. Products

Durin may offer hardware products for purchase through the website or authorized retailers.

Product descriptions, images, specifications, colors, dimensions, and packaging are intended to be as accurate as reasonably possible.

However, actual Products may vary slightly due to manufacturing changes, display settings, or product improvements.

Durin reserves the right to:

  • discontinue Products;

  • limit quantities;

  • modify specifications;

  • correct pricing errors;

  • refuse or cancel orders where permitted by law.

 

10. Orders and Payment

When placing an order, you represent that:

  • all billing information is accurate;

  • you are authorized to use the payment method submitted;

  • your purchase complies with applicable laws.

Orders are subject to acceptance by Durin.

Receipt of an order confirmation does not constitute acceptance.

Durin reserves the right to reject or cancel any order for reasons including:

  • suspected fraud;

  • inventory shortages;

  • pricing errors;

  • export restrictions;

  • violations of these Terms.

If payment has already been collected for a cancelled order, Durin will refund the amount paid using the original payment method unless otherwise required by law.

 

11. Shipping

Shipping dates and delivery estimates are provided for convenience only.

Actual delivery may vary due to carrier delays, customs processing, weather events, supply chain disruptions, or other circumstances outside Durin's reasonable control.

Risk of loss and title transfer as provided by applicable law or the terms presented during checkout.

You are responsible for inspecting shipments promptly after delivery and notifying Durin of any visible shipping damage or missing items within the timeframe specified in our Shipping or Return Policy.

 

12. Returns

Returns, exchanges, cancellations, and refunds are governed by the Durin Return Policy, which is incorporated into these Terms by reference.

Certain Products, promotional items, beta hardware, or limited-release products may not be eligible for return except as required by law.

 

13. Product Installation

You are responsible for ensuring that the Door Manager is installed in accordance with all provided instructions.

Improper installation, misuse, unauthorized modifications, or installation with unsupported products may impair performance and may void any applicable warranty.

 

14. Service Availability

Although Durin strives to provide reliable Services, availability cannot be guaranteed.

The Services may occasionally be unavailable due to:

  • scheduled maintenance;

  • emergency maintenance;

  • software updates;

  • internet outages;

  • wireless interference;

  • cloud infrastructure failures;

  • third-party service interruptions;

  • circumstances beyond Durin's reasonable control.

Durin does not guarantee uninterrupted or error-free operation of the Services.

 

15. Software License

Subject to your continued compliance with these Terms, Durin grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, and revocable license to install and use the App solely for your personal or internal business use in connection with authorized Durin Products.

This license does not transfer any ownership rights in the App or any portion of the Services.

Except as expressly permitted by applicable law, you may not:

  • copy or reproduce the App;

  • modify, adapt, or create derivative works;

  • reverse engineer, decompile, disassemble, or otherwise attempt to discover source code;

  • remove or alter copyright, trademark, or proprietary notices;

  • sublicense, lease, rent, sell, assign, or distribute the App;

  • use the App to develop a competing product or service;

  • circumvent security or authentication mechanisms.

All rights not expressly granted are reserved by Durin.

 

16. Software, Firmware, and Service Updates

Durin may periodically release updates, upgrades, patches, bug fixes, security improvements, firmware revisions, or feature enhancements.

These updates may be installed automatically or may require user action.

You acknowledge that updates may:

  • improve security;

  • modify functionality;

  • improve compatibility;

  • remove obsolete features;

  • introduce new features.

Certain updates may be required for continued operation of the Services.

Failure to install updates may result in reduced functionality or loss of compatibility.

 

17. Digital Credentials and Access Features

The Services may support digital credentials, mobile access technologies, wallet-based credentials, or similar authentication features.

Availability of these features may vary based upon:

  • Product model;

  • mobile operating system;

  • Compatible Device;

  • geographic location;

  • third-party platform availability.

Durin may modify, suspend, or discontinue particular authentication methods without liability.

Use of third-party digital wallet platforms remains subject to the applicable third-party terms and conditions.

 

18. User Responsibilities

You are responsible for using the Services safely and responsibly.

You agree to:

  • follow all installation instructions;

  • maintain Compatible Devices;

  • keep your contact information current;

  • maintain internet connectivity where required;

  • replace batteries as recommended;

  • maintain physical control over your mobile devices;

  • promptly install recommended updates;

  • protect your passwords and authentication credentials.

You are solely responsible for all activities conducted through your Account.

You are responsible for protecting the Product from physical damage, tampering, misuse, environmental exposure, or unauthorized modification. 

 

19. Smart Lock Responsibilities

Durin enhances the management of Compatible Devices but does not manufacture most supported smart locks.

You acknowledge that operation of the Services depends upon numerous factors outside Durin's control, including:

  • third-party smart lock hardware;

  • third-party firmware;

  • batteries;

  • Bluetooth connectivity;

  • Wi-Fi connectivity;

  • internet availability;

  • mobile operating system functionality;

  • cloud services operated by third parties.

Durin does not guarantee that doors will always lock, unlock, or respond immediately.

Users should always verify that a door is secured before relying upon electronic lock status.

You should maintain alternative methods of entering your property in the event of equipment failure, power loss, depleted batteries, network interruption, or other unexpected conditions.

 

20. Acceptable Use

You agree not to misuse the Services.

Without limitation, you may not:

  • violate any applicable law;

  • interfere with the operation of the Services;

  • attempt unauthorized access to any account;

  • probe, scan, or test vulnerabilities without written authorization;

  • introduce malware or malicious code;

  • interfere with communications between Products and the Services;

  • impersonate another person;

  • transmit unlawful, defamatory, fraudulent, or harmful content;

  • circumvent usage restrictions;

  • use automated systems to overload the Services;

  • use the Services in connection with criminal activity;

  • assist another person in violating these Terms.

Durin reserves the right to investigate suspected violations and cooperate with law enforcement where appropriate.

 

21. Security

While Durin designs the Services with security in mind, no connected device or internet-based service can be guaranteed to be completely secure.

You acknowledge that:

  • internet communications may be intercepted;

  • wireless communications may be disrupted;

  • hardware failures may occur;

  • software vulnerabilities may be discovered;

  • unauthorized third parties may attempt to access connected devices.

You are responsible for taking reasonable security precautions, including:

  • maintaining strong passwords;

  • enabling device security features where available;

  • securing your home network;

  • keeping software current;

  • protecting devices used to access your Account.

 

22. Beta Features

Durin may offer experimental or pre-release products or features designated as beta, preview, early access, pilot, or similar.

Beta Services:

  • may contain defects;

  • may not operate reliably;

  • may change substantially;

  • may be discontinued at any time;

  • may never become generally available.

Unless otherwise required by law, Beta Services are provided "AS IS" without warranties of any kind.

Feedback regarding Beta Services is appreciated and may be used by Durin without restriction.

 

23. User Content

Certain Services may permit you to submit photographs, comments, support requests, feedback, or other content.

You retain ownership of any intellectual property rights you hold in your User Content.

By submitting User Content, you grant Durin a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, modify (solely as necessary for formatting or display), display, and use that content for purposes of operating, improving, supporting, and providing the Services.

You represent that:

  • you own or have the necessary rights to submit the User Content;

  • the User Content does not violate applicable law;

  • the User Content does not infringe another person's rights.

Durin reserves the right, but not the obligation, to remove User Content that violates these Terms or applicable law.

 

24. Feedback

If you voluntarily submit ideas, suggestions, enhancement requests, product concepts, or other feedback regarding the Services, you agree that Durin may use such feedback without restriction or obligation to compensate you.

Feedback may be incorporated into existing or future Products and Services.

 

25. Intellectual Property

The Services, including all software, firmware, source code, object code, algorithms, user interfaces, product designs, trademarks, logos, graphics, photographs, documentation, text, audiovisual works, and other content, are owned by or licensed to Durin and are protected by intellectual property laws.

Nothing in these Terms grants ownership of any intellectual property.

Durin, the Durin logo, and associated trademarks may not be used without prior written permission.

 

26. Copyright Policy

Durin respects the intellectual property rights of others and expects users to do the same.

If you believe material available through the Services infringes your copyright, you may submit a written notice identifying:

  • the copyrighted work claimed to have been infringed;

  • the material claimed to be infringing;

  • your contact information;

  • a statement that you have a good-faith belief that the use is unauthorized;

  • a statement, under penalty of perjury, that the information provided is accurate and that you are authorized to act on behalf of the copyright owner.

Durin may remove allegedly infringing material where appropriate and consistent with applicable law.

 

27. Electronic Communications

By creating an Account or using the Services, you consent to receive communications electronically.

These communications may include:

  • account notifications;

  • purchase confirmations;

  • software update notices;

  • security alerts;

  • customer support communications;

  • legal notices;

  • marketing communications where permitted by law and consistent with your communication preferences.

Electronic communications satisfy any legal requirement that communications be in writing.

 

28. Export Compliance

You agree to comply with all applicable export control, sanctions, and trade laws.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any country or region subject to comprehensive trade restrictions that prohibit your use of the Services.

You further represent that you are not identified on any applicable government list of restricted or prohibited parties.

You may not export, re-export, or transfer the Products or Services except as permitted by applicable law.

 

29. Suspension of Services

Durin may suspend or restrict access to the Services immediately if we reasonably determine that:

  • your Account has been compromised;

  • your use creates security risks;

  • you violate these Terms;

  • continued access could harm other users, Durin, or third parties;

  • suspension is required by law.

Where reasonably practicable, Durin will attempt to notify you before or promptly after a suspension.

Durin will use commercially reasonable efforts to restore access once the issue has been resolved.

 

30. Limited Warranty

Any limited warranty applicable to a Product will be described in the separate Durin Limited Hardware Warranty.

Except as expressly provided in that warranty, the Products and Services are provided "AS IS" and "AS AVAILABLE."

Nothing in these Terms limits rights that cannot legally be waived under applicable consumer protection laws.

 

31. Disclaimer of Warranties

To the fullest extent permitted by law, Durin disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of:

  • merchantability;

  • fitness for a particular purpose;

  • title;

  • non-infringement;

  • quiet enjoyment.

Durin does not warrant that:

  • the Services will always be available;

  • operation will be uninterrupted;

  • communications will occur in real time;

  • the Services will be error free;

  • defects will always be corrected;

  • all security vulnerabilities can be prevented.

Because the Services depend upon internet connectivity, electricity, wireless communications, mobile operating systems, third-party hardware, and cloud infrastructure, interruptions and failures may occur.

 

32. Home Security Disclaimer

The Services are intended to enhance management of compatible smart locks.

They are not:

  • a burglar alarm;

  • a monitored security system;

  • a life-safety system;

  • an emergency notification service.

You acknowledge that no electronic access system can eliminate the risk of theft, unauthorized entry, property damage, injury, or other losses.

Durin does not guarantee that the Services will prevent criminal activity or unauthorized access.

You remain solely responsible for protecting your property and maintaining appropriate insurance coverage.

 

33. Biometric Data

Certain features of the Services may interact with biometric authentication technologies made available by your mobile device or compatible third-party platforms. To the extent Durin collects or processes biometric identifiers or biometric information, such collection and use will be described in our Privacy Policy or any separate Biometric Privacy Notice. You are responsible for obtaining any legally required consent before enrolling another individual in biometric-enabled features made available through the Services.

 

34. Child Consent

If you authorize access for a minor or enable features involving a minor, you represent that you have obtained any permissions or consents required by applicable law.

 

35. Accuracy of Website Information

Product descriptions, specifications, images, and pricing may occasionally contain typographical or technical errors. Durin reserves the right to correct such errors without prior notice. 


36. Future Features

New Products, Services, software features, or functionality introduced by Durin may be governed by these Terms unless separate terms are provided. 

 

37. Limitation of Liability

To the fullest extent permitted by law, Durin and its directors, officers, employees, contractors, licensors, affiliates, distributors, and suppliers shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages arising out of or relating to the Services.

This includes, without limitation:

  • loss of profits;

  • lost revenue;

  • business interruption;

  • loss of data;

  • property damage;

  • unauthorized entry;

  • inability to access property;

  • theft;

  • personal injury;

  • emotional distress;

  • replacement costs;

  • loss of goodwill.

Durin shall not be liable for damages resulting from:

  • internet outages;

  • cellular network failures;

  • Bluetooth interference;

  • Wi-Fi disruptions;

  • electrical outages;

  • depleted batteries;

  • unsupported hardware;

  • third-party firmware updates;

  • installation errors;

  • misuse of the Products;

  • actions of Authorized Users;

  • criminal acts committed by third parties.

If, notwithstanding the foregoing, Durin is found liable for any claim arising from the Services, Durin's aggregate liability shall not exceed the greater of:

  1. the amount you paid to Durin for the Product giving rise to the claim during the twelve (12) months preceding the event giving rise to the claim; or

  2. one hundred U.S. dollars (US $100).

Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.

 

38. Indemnification

You agree to defend, indemnify, and hold harmless Durin and its directors, officers, employees, contractors, affiliates, licensors, and agents from and against any claims, damages, liabilities, judgments, settlements, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

  • your use of the Services;

  • your violation of these Terms;

  • your violation of applicable law;

  • your negligence or misconduct;

  • your User Content;

  • your violation of another person's rights.

 

39. Dispute Resolution

Durin encourages customers to contact Customer Support before initiating legal proceedings.

Most disputes can be resolved informally.

If a dispute cannot be resolved informally, the parties agree to resolve disputes as described below.

 

40. Binding Arbitration

Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved exclusively through binding individual arbitration rather than in court.

The arbitration shall be administered by a nationally recognized arbitration provider under its applicable consumer arbitration rules.

The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, or enforceability of this arbitration provision.

Nothing in this section prevents either party from seeking temporary injunctive relief to protect intellectual property or confidential information.

 

41. Class Action Waiver

To the fullest extent permitted by law:

  • disputes shall be brought only on an individual basis;

  • neither party shall participate as a plaintiff or class member in any class action, consolidated action, representative action, or private attorney general action.

The arbitrator may award relief only to the individual party seeking relief.

 

42. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.

Subject to the arbitration provisions above and applicable law, any judicial proceeding shall be brought exclusively in the state or federal courts located in the State of Delaware.

Each party consents to the personal jurisdiction of those courts.

 

43. Force Majeure

Durin shall not be liable for delays or failures to perform resulting from events beyond its reasonable control, including:

  • natural disasters;

  • fire;

  • flood;

  • earthquake;

  • pandemic;

  • labor disputes;

  • internet outages;

  • cyberattacks;

  • denial-of-service attacks;

  • telecommunications failures;

  • governmental actions;

  • supply chain disruptions;

  • shortages of materials;

  • acts of war;

  • terrorism.

Durin will use commercially reasonable efforts to resume performance once the event has ended.

 

44. Assignment

You may not assign or transfer these Terms without Durin's prior written consent.

Durin may assign these Terms in connection with:

  • a merger;

  • acquisition;

  • financing;

  • sale of assets;

  • corporate reorganization.

These Terms shall bind permitted successors and assigns.

 

45. Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Any unenforceable provision shall be interpreted to the maximum extent permitted by applicable law.

 

46. Waiver

Failure by Durin to enforce any provision of these Terms shall not constitute a waiver of any right.

Any waiver must be in writing and signed by an authorized representative of Durin.

 

47. Survival

The following provisions survive termination of these Terms:

  • Intellectual Property;

  • Feedback;

  • Disclaimer of Warranties;

  • Limitation of Liability;

  • Indemnification;

  • Dispute Resolution;

  • Governing Law;

  • any provision that by its nature should survive termination.

 

48. Termination

You may stop using the Services at any time.

Durin may suspend or terminate your access if:

  • you violate these Terms;

  • you misuse the Services;

  • your use creates security or legal risks;

  • Durin is required to do so by law.

Termination does not affect obligations that arose before termination.

 

49. Entire Agreement

These Terms, together with the Privacy Policy, Limited Hardware Warranty, Return Policy, and any additional policies expressly incorporated by reference, constitute the entire agreement between you and Durin regarding the Services.

These Terms supersede all prior or contemporaneous agreements relating to the Services.

BY PURCHASING A PRODUCT, CREATING AN ACCOUNT, DOWNLOADING THE APP, OR USING THE SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF SERVICE, UNDERSTAND THEM, AND AGREE TO BE LEGALLY BOUND BY THEM.
